Terms of Service

These Terms of Service (“Terms”) form a business-to-business agreement between the customer identified during checkout, registration, or an applicable order (“Customer,” “you,” or “your”) and the Nevris legal entity identified on the applicable checkout page, order, or service agreement (“Nevris,” “we,” “us,” or “our”).

By creating an account, accepting these Terms, purchasing a Nevris product, or using a paid Nevris service, you confirm that you are authorized to bind the applicable business.

If you do not agree to these Terms, do not purchase or use the Service.

1. Nevris Services and Dashboard

Nevris provides an authenticated business Dashboard and separately purchasable software products and services, which may include:

  • FinanceOS

  • RevenueOS

  • AI chatbots and lead-capture systems

  • Business automations and integrations

  • Nevris Intelligence features

  • Custom implementation and support services

  • Other products identified in an order or checkout page

Dashboard access is included with an eligible Nevris product and does not carry a separate viewing fee unless clearly stated before purchase.

FinanceOS, RevenueOS, and other Nevris products are separate purchases. They may operate independently or securely share authorized workspace information when a Customer purchases and enables both. Purchasing one product does not provide access to another product unless the applicable order expressly includes it.

The features available to Customer depend on the purchased product, plan, workspace permissions, implementation status, and applicable usage limits.

2. Dashboard Plans, Billing, and Setup Fees

Nevris subscription plans and products show the exact price, billing interval, setup fee, limits, and included features will be displayed before purchase.

Example: FinanceOS Plans

Core: $39 monthly or $397.80 annually; 2 users; 1 workspace; 100 AI narratives per month.

Growth: $99 monthly or $1,009.80 annually; 5 users; 1 workspace; 500 AI narratives per month.

Scale: $249 monthly or $2,539.80 annually; 15 users; up to 3 workspaces; 2,000 AI narratives per month.

Annual subscriptions are billed for the full year in advance at 15% less than twelve payments at the applicable monthly price.

Core includes the essential FinanceOS invoice-to-cash experience, including customer management, invoice drafting and delivery, invoice lifecycle management, verified payment reconciliation, standard receivables automation, basic Operations Center visibility, Finance activity and readiness, and available Finance Intelligence features. Self-service setup is included. Optional assisted setup is currently $149.

Growth includes Core features and adds configurable receivables, customer follow-up management, automation management and health, expanded Operations Center functionality, higher user limits, and a larger Finance Intelligence allowance. A $499 guided implementation fee applies unless an approved promotion or order states otherwise.

Scale includes Growth features and adds advanced role controls, advanced audit access, priority support, additional users and workspaces, and the highest Finance Intelligence allowance currently offered. Custom implementation starts at $1,500 and requires an approved quote. Data migration, additional workspaces, custom integrations, or out-of-scope implementation work may increase the quoted amount.

Features still identified as planned or in development are not included unless they are expressly shown as available in the applicable order or checkout.

RevenueOS and other Nevris products are sold separately at the price and scope shown in their applicable order or checkout.

Third-party provider fees, payment-processing fees, taxes, data migration, and custom work are separate unless expressly included.

3. Orders and Service Agreements

An online checkout confirmation, approved quote, order form, or written service agreement is an “Order.”

Each Order identifies the applicable products, plan, billing interval, fees, limits, setup requirements, and additional terms. A separate signed agreement is not required when Customer completes an authorized online checkout and affirmatively accepts these Terms.

If an Order conflicts with these Terms, the Order controls only for that specific transaction. Nevris’s Privacy Policy, applicable product documentation, and any applicable data-processing agreement supplement these Terms.

4. Accounts and Authorized Users

Customer must provide accurate account and billing information and maintain the security of its login methods.

Customer is responsible for:

  • Users it authorizes to access its workspace

  • Assigning appropriate roles

  • Promptly removing users who no longer require access

  • Protecting account credentials and recovery methods

  • Reporting suspected account compromise

A Nevris identity does not automatically grant access to a business workspace. Workspace access depends on verified membership, role, entitlement, and authorization.

Users may not bypass, falsify, or manipulate identity, workspace, role, session, subscription, or module controls.

5. Customer Privacy and Nevris Staff Access

As between the parties, Customer owns the business information and records submitted to or generated within its workspace (“Customer Data”).

Nevris personnel do not receive general access to Customer’s private Dashboard information merely because Nevris provides software, implementation, or support.

When Customer authorizes Nevris to assist with implementation, Nevris access must be limited to the setup and configuration functions reasonably necessary to perform that work. Setup access does not authorize routine access to Customer’s customers or leads, invoices or payments, private communications, financial records, activity history, business analytics, or other private operational information.

Any additional support access must be expressly authorized, limited to the necessary purpose, and subject to available access controls and audit records. Nevris may access information without Customer authorization only when reasonably necessary to address an urgent security threat, prevent fraud or abuse, comply with law, or protect the Service.

Nevris will process Customer Data only to provide, secure, support, and improve the Service or comply with applicable law. Nevris does not sell Customer Data.

6. Usage Limits and AI Allowances

Each plan includes the limits displayed before purchase. Limits may include users, workspaces, AI narratives, automation usage, or product-specific capabilities.

AI usage does not automatically create overage charges. Nevris must disclose and obtain agreement to any paid overage or add-on before charging Customer.

When an AI allowance is exhausted, Nevris may use a non-AI or deterministic result, temporarily stop additional AI narratives, ask Customer to upgrade, or offer an approved add-on.

Unused AI allowances do not roll over unless an Order expressly says otherwise. Failed provider generations will not intentionally consume Customer’s allowance.

Security, tenant isolation, payment correctness, audit preservation, and safe error handling are not reduced based on plan.

7. Billing and Automatic Renewal

Monthly plans are billed in advance for each monthly billing period. Annual plans are billed in advance for the full year.

Subscriptions automatically renew for successive periods matching the existing billing interval unless Customer cancels before renewal.

Customer authorizes Nevris and its payment processor to charge the payment method on file for recurring subscription fees, disclosed setup or implementation fees, approved add-ons, applicable taxes, and other charges expressly accepted by Customer.

Nevris will not silently add an undisclosed subscription, paid overage, or implementation charge.

8. Setup and Implementation

Setup and implementation fees cover only the work described in the applicable Order.

Customer must timely provide the information, access, approvals, branding materials, third-party accounts, and other cooperation reasonably required to perform implementation.

Delays caused by missing Customer information or third-party approval may delay completion and do not automatically entitle Customer to a refund.

Setup fees become non-refundable once the corresponding work begins, except where an Order or applicable law provides otherwise.

9. Upgrades, Downgrades, and Setup Credits

Upgrades take effect immediately unless the Order states otherwise. Nevris may credit unused paid time and charge the prorated difference for the remainder of the billing period.

Downgrades take effect at the end of the current paid period. Nevris does not delete Customer Data merely because of a downgrade. Features, users, or workspaces exceeding the new plan may become restricted or read-only until Customer reduces usage or upgrades.

Example: If Customer upgrades FinanceOS within twelve months after paying a FinanceOS setup fee, Nevris will apply the previously paid setup fee once as a credit toward the higher plan’s setup fee. The credit cannot exceed the new setup fee, has no cash value, does not create a refund, and does not cover custom or out-of-scope work.

10. Failed Payments and Suspension

A successful payment purchases access through the exact end of the paid billing period (“Paid-Through Time”).

If a renewal payment fails, Customer retains paid access only until the existing Paid-Through Time. Payment retries or collection notices do not create an additional free month.

At the Paid-Through Time, Nevris may automatically suspend new paid operations. Paid access may resume after successful payment establishes a new paid period and any necessary security or readiness checks pass.

During suspension, Nevris may preserve limited read or export access where safe. Nevris may also continue bounded processing necessary to reconcile events already received, stop communications after a verified payment, preserve audit records, protect Customer Data, and comply with law.

Suspension does not erase outstanding amounts owed.

11. Cancellation and Refunds

Customer may cancel a subscription at any time through available Dashboard controls or the support method identified by Nevris.

Cancellation takes effect at the Paid-Through Time. Customer retains paid access through the end of the already-purchased period, and no future renewal will be charged.

Subscription, setup, implementation, and completed-work fees are non-refundable except where an Order expressly provides otherwise, Nevris confirms a billing error, Nevris materially breaches the agreement and fails to cure, or applicable law requires a refund.

Nevris will provide a reasonable opportunity to export Customer Data before permanent account closure, subject to identity verification, security requirements, legal retention obligations, technical feasibility, and third-party limitations.

Cancellation does not automatically delete Customer Data.

12. Customer Responsibilities and Communications

Customer is responsible for ensuring it has the legal authority, notices, consents, and lawful basis required to collect Customer Data and direct communications through the Service.

Customer may not use the Service to violate applicable law; send spam or unlawful communications; contact individuals without required consent; misrepresent identity, consent, or business information; infringe another party’s rights; introduce malware; probe or bypass security; access another Customer’s workspace; process prohibited or harmful content; resell the Service without authorization; or extract Nevris software or data to build a competing service.

Customer remains responsible for the legality and accuracy of Customer-directed invoices, messages, campaigns, reminders, and automations.

13. AI and Automated Features

AI-generated narratives, recommendations, drafts, summaries, and other outputs may be incomplete or inaccurate.

AI output is decision support and is not accounting, tax, legal, financial, employment, or other professional advice. Customer must review material outputs before relying on or acting upon them.

AI does not replace authoritative records for invoices, payments, account balances, customer identity, workspace permissions, subscription status, or legal or tax obligations.

AI may not independently send, charge, refund, void, or contact a customer unless Customer has enabled a separately approved automation that expressly permits the action.

Nevris does not guarantee that AI, automation, or recommendations will produce revenue, savings, conversions, collections, or any particular business result.

14. Third-Party Services

Customer may connect third-party services such as Stripe, communications providers, calendars, email providers, or AI providers.

The third party’s terms, fees, availability, and data practices apply to its services. Nevris is not responsible for a third party’s independent acts or outages, but Nevris remains responsible for operating its own Service in accordance with these Terms.

When payment-provider functionality is enabled, Customer remains responsible for its provider account, provider processing and invoicing fees, refunds, disputes, taxes, payouts, and customer obligations. Nevris is not the merchant of record for transactions between Customer and Customer’s clients unless expressly stated otherwise.

Disconnecting or losing access to a provider may restrict related Dashboard features.

15. Intellectual Property

Nevris and its licensors own the Dashboard, software, documentation, designs, systems, and related intellectual property.

Subject to these Terms and payment of applicable fees, Nevris grants Customer a limited, non-exclusive, non-transferable right to use the purchased Service during the subscription term for Customer’s internal business operations.

Customer retains ownership of Customer Data and materials it provides.

Customer may provide feedback, and Nevris may use that feedback without restriction, provided Nevris does not publicly identify Customer or disclose Customer’s confidential information without permission.

16. Confidentiality and Security

Each party will use reasonable care to protect the other party’s confidential information and will use that information only for purposes connected with this agreement.

Nevris will maintain reasonable administrative, technical, and organizational safeguards appropriate to the Service. No online service is completely secure, and Customer must use available security features and promptly report suspected compromise.

Nevris may disclose confidential information when legally required, where permitted providing notice when reasonably possible.

17. Service Availability and Changes

Nevris may improve, update, or replace Service features. Nevris may replace a feature with a materially equivalent feature.

Nevris will provide reasonable notice before materially reducing a paid core capability, except where an immediate change is required for security, legal compliance, abuse prevention, or third-party-provider continuity.

Features described as preview, beta, planned, experimental, or in development may change and are not part of a paid commitment unless expressly included in an Order.

18. Warranties and Disclaimers

Each party represents that it has authority to enter this agreement.

Nevris will provide the Service in a professional manner materially consistent with applicable product documentation.

Except for express commitments in these Terms or an Order, the Service is provided “as is” and “as available” to the maximum extent permitted by law. Nevris does not guarantee uninterrupted or error-free operation or any particular business outcome.

19. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data arising from these Terms.

Except for claims that cannot legally be limited, each party’s aggregate liability arising from the Service will not exceed the fees Customer paid or owed for the affected Service during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to Customer’s payment obligations, fraud, willful misconduct, infringement of intellectual property rights, or other liability that applicable law does not allow the parties to limit.

20. Termination

Either party may terminate for an uncured material breach after thirty days’ written notice, or immediately for an incurable breach, unlawful activity, insolvency, fraud, or an urgent security risk.

Upon termination, Customer’s right to use the Service ends, subject to applicable paid-through access, export, retention, reconciliation, and safety requirements.

Sections that logically must survive termination—including payment, confidentiality, intellectual property, disclaimers, liability, and dispute provisions—will remain effective.

21. Changes to These Terms

Nevris may update these Terms. Material changes will be identified by an updated version and effective date and communicated through the Dashboard or Customer’s account email.

Where renewed consent is appropriate, Nevris will request affirmative acceptance before Customer’s next purchase or renewal.

A change will not retroactively alter an already-paid subscription period unless required by law or expressly accepted by Customer.

22. Governing Documents and General Terms

These Terms, applicable Orders, product documentation, the Privacy Policy, and any applicable data-processing agreement constitute the agreement concerning the Service.

Electronic acceptance and records have the same effect as signed paper records.

The parties are independent contractors. If any provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect.

The governing law, venue, legal-notice address, and any agreed dispute process will be those identified in the applicable Order or Nevris’s published legal information.
